Terms & Conditions
The terms on which DUAL Software s.r.o. quotes for, supplies and licenses hardware and software. Consumer purchases are also covered by the statutory rights set out on the Consumer rights page, which these terms cannot reduce.
1. Who you are contracting with

2. What this website is
This website presents specifications and collects enquiries. It is not a shop: there is no basket, no online ordering and no payment facility, and we never ask for card or bank details here.
Nothing on this site — no catalogue entry, no configurator output — is an offer. Specifically, the output of the Hardware Configurator & Software Estimator is an indication of scope and quantity produced from the selections you made; it is not a proposal to contract within the meaning of Section 1732(2) of Act No. 89/2012 Coll. (the Civil Code), and it does not bind either of us.
3. Quotations
- A binding position is given only in a written quotation issued by us, which names the manufacturer, the exact model or licence SKU, quantity, availability, price, delivery terms and validity period.
- A quotation is valid for the period stated on it. Hardware and licence pricing moves with availability, currency and vendor programme changes, which is why we do not publish prices on this site: a published price is one we would have to honour regardless of what happens between publication and delivery.
- A contract comes into existence when you accept a valid quotation in writing and we confirm the order.
- Availability shown to you at quotation is availability in distribution at that moment. Where a line becomes unavailable we will tell you and offer an equivalent specification rather than substitute one silently.
4. Prices, VAT and payment
- Prices in a quotation are net of VAT unless it says otherwise. Czech VAT is applied at the statutory rate. For a VAT-registered business in another EU member state, the reverse-charge mechanism applies where the conditions are met and your VAT number validates in VIES.
- Payment terms are stated on the quotation and the invoice. We do not take card payments on this website.
- Title to goods passes on full payment. Risk passes on delivery.
5. Software licences
- Licences are supplied new, through authorised European distribution, under the software vendor's own licence terms. Those terms are between you and the vendor; we pass them through unchanged and do not vary them.
- We do not trade in second-hand or resold keys, in OEM licences separated from the hardware they were originally supplied with, or in volume licence keys split outside the agreement they belong to.
- Subscriptions are provisioned into your own tenant and registered to your organisation, so the entitlement remains yours if you change supplier.
- Entitlement documentation is supplied with delivery. Keeping your own licence records — and counting existing entitlements before a purchase — remains your responsibility; we will help, but we cannot certify your compliance position.
- Statutory consumer withdrawal rights are limited for sealed or digitally delivered software once supply has begun — see Consumer rights.
6. Trademarks and manufacturer relationships
Manufacturer and product names that appear in a quotation, an invoice or correspondence are the trademarks of their respective owners. They are used descriptively, to identify the goods being supplied.
DUAL Software s.r.o. does not hold or claim authorised reseller, partner, distributor or certified-provider status with any manufacturer unless a specific relationship is stated in writing in a quotation. That is why no manufacturer names or logos appear in the catalogue on this site. Nothing here should be read as an endorsement by, or an affiliation with, any manufacturer.
7. Warranty and support
- Hardware carries the manufacturer's warranty, whose term and service level are stated in the quotation. Where an on-site or next-business-day service level is purchased, it is the manufacturer's service, delivered on the manufacturer's terms.
- Business purchasers have the rights given by Sections 2099 and following of the Civil Code. Consumers have the statutory conformity rights described on Consumer rights, which these terms do not and cannot limit.
- We publish no response-time or uptime commitment on this website. Where a service level is agreed, it is written into the quotation or a separate agreement, so that it is a term and not an advertisement.
8. Liability
Nothing in these terms limits liability where the law does not allow it to be limited — including for damage caused intentionally or by gross negligence, for harm to a person's natural rights, and for a consumer's statutory rights. Subject to that, and as between businesses, our liability arising from a contract is limited to the price paid for the goods or licences concerned, and we are not liable for lost profit, lost data or indirect loss. The parties expressly exclude the application of Section 1799 and Section 1800 of the Civil Code to business contracts.
9. Business we do not take on
We supply computing hardware, peripherals, software licences and related integration work, and nothing else. We do not supply, and will decline enquiries for:
- surveillance or interception equipment, and software marketed for covert monitoring of individuals;
- circumvention devices, licence-key generators, activation bypasses or any other means of defeating technical protection measures;
- second-hand, grey-market or unbundled OEM licence keys;
- goods subject to export control or sanctions where we cannot establish that the transaction is permitted;
- equipment supplied for gambling, adult, or weapons applications.
10. Governing law and disputes
These terms and any contract made under them are governed by Czech law, and the Czech courts have jurisdiction. For a consumer, this does not remove the protection of mandatory rules of the law of the country where you live, nor your right to bring proceedings there where EU law allows it.

11. Changes
We may change these terms for future quotations. The terms that apply to a contract are the ones in force when the quotation was issued. This version is dated 17 August 2026.
